You realize that this is the pain you must endure to hit on a great business idea. And what is the idea? To simply do a better job than this entrenched industry of 1300 shops in Manhattan that define the status quo of laundry and dry-cleaning. 1300 shops dedicated to cleaning the dirt in your clothes without really considering the clothes themselves. You imagine a modern, clean (as in eco-clean), attractive (as in fashionable) space filled with people who love and respect clothes. And you could pick up people's clothes every week. All their dirty clothes. And after you restore them, you could deliver their clothes back to them.

FOR A FLAT FEE.

There would finally be a place that revives wardrobes, infusing them with the energy of that first wearing. People would give themselves permission to get dirty. And the world would be a better place.

Acceptance of Terms of Use

These Terms of Use govern your use of the Slate NYC Inc. services and website. By using, visiting, or browsing the Slate NYC Inc. services or website, you accept and agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, you should not use the Slate NYC Inc. service or website.

These Terms of Use are an ongoing contract between you and Slate NYC Inc. and apply to your use of the Slate NYC Inc. services and website. These Terms of Use affect your rights and you should read them carefully.

Changes to Terms of Use

Slate NYC Inc. reserves the right, from time to time, with or without notice to you, to change these Terms of Use in our sole and absolute discretion. The most current version of these Terms of Use can be reviewed by clicking on the "Service Terms and Conditions" located at the footer of any page in the the Slate NYC website. The most current version of the Terms of Use will supersede all previous versions. Your use of the Slate NYC website or continued use of our service after changes are made means that you agree to be bound by such changes. As such, you should review the Terms of Use periodically.

Privacy

Any personally identifying information submitted on the Slate NYC website is subject to our Privacy Policy, the terms of which are incorporated herein. Please review our Privacy Policy to understand our practices. The date of any changes to our Privacy Policy will be noted at the bottom of our Privacy Policy.

How Our Service Works

We reserve the right in our sole and absolute discretion to make changes from time to time and without notice in how we operate our services.

Slate Wardrobe®

Slate Wardrobe® is a clothes cleaning service providing its users with pickup, cleaning, and delivery of their clothes. We offer a variety of service levels tailored to each individual user’s habits.

By starting your Slate Wardrobe® membership, you are expressly agreeing that we are authorized to charge you a monthly, quarterly, or yearly membership fee, any applicable tax and any other charges you may incur in connection with your use of the Slate Wardrobe® service to the Payment Method you provided during registration (or to a different Payment Method if you change your account information). The membership fee will be billed at the beginning of your membership and on each monthly, quarterly, or yearly period thereafter unless and until you cancel your membership. We will automatically bill your Payment Method four weeks, thirteen weeks, or fifty-two weeks after commencement of your membership depending on your payment preference selected when you signed up. You acknowledge that the amount billed each month may vary from month to month for reasons that include, differing amounts of items cleaned than those included in your package and/or differing amounts due to changes in your membership plan and you authorize us to charge your Payment Method for such varying amounts. All fees and charges are nonrefundable and there are no refunds or credits for partially used periods. We may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email. If you want to use a different Payment Method or if there is a change in your credit card validity or expiration date, you may edit your Payment Method information by clicking on the "My Account" button. If your Payment Method reaches its expiration date, your continued use of the service constitutes your authorization for us to continue billing that Payment Method and you remain responsible for any uncollected amounts.

Your Slate Wardrobe® membership will continue in effect unless and until you cancel your membership or we terminate it. You must cancel your membership before it renews each month in order to avoid billing of the next month's membership fees to your Payment Method. We will bill the monthly membership fee plus any applicable tax to the Payment Method you provide to us during registration (or to a different Payment Method if you change your account information).

You may cancel your Slate Wardrobe® membership at anytime, and cancellation will be effective immediately. To cancel, please send an email with the subject line "CANCEL MEMBERSHIP" to support@slatenyc.com.

WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-MONTH MEMBERSHIP PERIODS.

Inventory

As an added convenience to our customers, we do not take inventory when picking up garments and we do not require a signed delivery confirmation.

We take inventory of the items you entrust us as follows: Once we get to our cleaning plant we break the seal on your hamper and itemize each garment. This process is recorded in digital video, which serves as proof of garments received. We keep video records for one week after the initial inventory date.

Because we are not confirming inventory at pickup or at delivery, you expressly agree that what our records show is what we received and delivered.

If you are including in your hamper an item worth more than $1,000 retail price, please let us know before your scheduled pickup by sending an email to info@slatenyc.com. We are not liable for loss or damages to garments worth more than $1,000 retail price if you fail to follow this policy.

Delivery

We always strive to pick up and deliver on time. However, the safety of our employees, other motorists and pedestrians takes precedence. In cases of inclement weather, traffic congestion, civil disturbance or other occurrences beyond our control it may be necessary to make adjustments to our delivery schedule, which will cause us to suspend chosen delivery dates and times. If there will be a significant delay we will post the status of your delivery time on our website. We will endeavor to deliver your order the first possible moment the conditions permit. If your designated delivery location is impossible or difficult to access, or the delivery otherwise onerous or impossible, we will endeavor to contact you to determine an alternate location and/or date. If you live in a doorman building, we will pick up your Slate hamper from your doorman by the pickup time you requested. The delivery will be made to your doorman by the delivery time you requested.

Our Quality Standard

We exercise care in processing articles entrusted to us and use such processes which, in our opinion, are best suited to the nature and condition of each individual article.

Our Warranty

Slate Wardrobe® is backed by a 100% customer satisfaction guarantee. If you are dissatisfied for any reason, we want to make it right. If you are not satisfied with the quality of our cleaning, please contact us. If appropriate, in our opinion, we shall reprocess your garment at no additional charge. Please refer to the “Warranty Disclaimer.”

Limitations

Because of the volume of garments we receive we cannot always honor individual customer’s cleaning instructions. Despite our intent to identify problem garments in advance, we cannot assume responsibility for inherent weaknesses of or defects in materials that are not readily apparent prior to processing. This applies particularly, but not exclusively, to suedes, leathers, furs, silks, satins, double-face fabrics, vinyls and polyurethanes.

Responsibility also is disclaimed for trimmings, buckles, beads, buttons, belts and sequins. We are not responsible for sunfading, color loss due to non-fast dyes of colors that shall not withstand the selected cleaning process or solvents, holes or tears due to the degradation of the fabric while hanging, ordinary wear and tear and shrinkage due to improper preshrinkage of manufacturers. In laundering we cannot guarantee against color loss and shrinkage or against damage to weak and tender fabrics. Some stains may not be removable.

Please keep in mind, that while we aim to remove all stains, some stains may never completely be removed. In particular, this includes failure to follow care instructions, further complicating a stain by using a home remedy such as water or soda, chemical damage from spillage of alcoholic beverages, medications, perfumes, after shaves, hair dyes, perspiration and shrinkage of garments due to improper washing techniques.

From time to time, Slate NYC Inc. may spot a garment with a potential problem as part of our pre-cleaning inspection process. Issues can include but are not limited to the age of the item, the colorfastness of the item, problematic stains, loose and/or missing buttons and tears, and snags or excessive pilling in the fabric. Such items are treated with special care. As a matter of corporate policy, we always prefer to err on the side of caution rather than employ overly aggressive cleaning techniques. We may not be able to guaranty the results. For example, a certain garment may appear to have very old stains and we cannot ensure that the stains will be completely removed. For this reason, we may choose to return the item without processing it. Slate NYC Inc. reserves the right to decline service for any item. You do not get a refund for any item not cleaned.

Damage and Loss Policy

We must receive notice of a claim due to damage (visible or concealed), delay, or shortage within three calendar days after delivery of the shipment. Notice of claims for which you are seeking more than US$50 must be in writing. All claims must be made within the time limits set forth above.

Your notice of claim must include complete date of shipment, number of pieces, and description of each piece. Failure to provide us with notice in the manner and within the time limits set forth above will result in denial of your claim, and we will have no liability or obligation to pay your claim. The filing of a lawsuit does not constitute compliance with these notice provisions.

Written documentation supporting the amount of your claim must be delivered to us within the time frame specified above. Such documentation may include original purchase invoices or expense statements. These documents must be verifiable to our satisfaction.

We are not obligated to act on any claim until all membership charges have been paid. The claim amount may not be deducted from these charges or from any outstanding balance owed to us.

We are not responsible for any loss or damage after delivery to your doorman, concierge or other apparently authorized person. We are not responsible for any loss or damage due to handling by, storage with or delivery by your doorman, concierge or other authorized person, including, for instance, the erroneous delivery of your garment to a third party cleaner.

LOST. Differences in count must be reported within the time limits set forth above. We will contact you within three (3) business days to resolve the dispute with you.

DAMAGED. If it is unclear who is responsible for the damage, Slate NYC Inc. will have the garment analyzed at owners expense by an International Fabricare Institute garment analysis laboratory. Restitution will be made based upon the lab’s report. Our liability shall in no event exceed $1,000 (One Thousand Dollars) for any article.

When we resolve a claim by paying full value for an item, we reserve the right to pick up the package for salvage, and all rights, title to, and interest in the item shall vest with us.

If we determine that Slate NYC is responsible for the loss of or damage to an item we will refund you the replacement value up to $250 (Two Hundred And Fifty Dollars). Refunds are made only with valid proof of purchase. The only valid proof of purchase is an original store receipt. The limit to this policy is $1,000 (One Thousand Dollars) per year per customer.

FAILURE TO COMPLY WITH ANY OF THE ABOVE CONDITIONS WILL RESULT IN THE DENIAL OF YOUR CLAIM.

Slate Clean Home®

Slate Clean Home® is a home cleaning service that provides users trusted, trained, uniformed and insured Cleaning Specialists utilizing eco-friendly products at flat rate prices.

Our Warranty

Slate Clean Home® is backed by a 100% customer satisfaction guarantee. If you are dissatisfied for any reason, we want to make it right. If you are not satisfied with the quality of our cleaning, please contact us. If appropriate, in our opinion, we shall redo the specific cleaning tasks until they meet your expectations.

Lock Out

If the Slate Cleaning Specialist arrives at your home for a scheduled service and is unable to gain entry, we will charge you 75% of the price for that cleaning service.

Cancellation

There is no cancellation fee provided that you cancel before 4pm on the day before your scheduled cleaning service. If you cancel on the day of your scheduled cleaning service we will charge you 25% of the price for that cleaning service.

Pets

Any pets that bite, sting, intimidate, or can otherwise harm the Slate Cleaning Specialists should be properly restrained prior to the service date and time.

Supplies and Equipment

Slate Cleaning Specialists arrive equipped with .method cleaning products. We require that you have basic cleaning tools in your home such as a broom and dust pan, a sponge mop and bucket, a toilet bowl brush, a step stool, garbage bags and a vacuum cleaner.

Limitations

The cleaning team will not clean:

  • animal or human feces
  • urine
  • bodily fluids
  • vomit
  • soiled clothing or other similar hazards.
  • cat litter boxes
  • fireplaces

Employee Safety

Our employees safety is very important to us. As such, Slate Cleaning Specialists are instructed not to use ladders or move anything heavier than 35 lbs. If you would like us to clean behind appliances like a refrigerator, oven or furniture such as a sofa, please move it prior to the cleaning visit to allow access to the area.

Hiring our Employees

You may not solicit our employees to be contracted or employed by you or your affiliations for cleaning services of any kind. If you would like to hire/contract one of our workers to work independently for you or your affiliates, you may submit your request by informing our office in writing. If approved, you will be required to pay a $3,000 referral fee.

Consistency in Service

We understand that most clients would prefer to have the same cleaning consultant consistently clean their home. It is our goal to provide you with consistency. We will try to provide you with a regular Slate Cleaning Specialist. However, due to circumstances beyond our control, we cannot always guarantee the same Slate Cleaning Specialist. We reserve the right to change Slate Cleaning Specialists at any time. In the event of a change, we will notify you via email. To ensure that any changes result in a smooth transition, in most cases we will have a quality control supervisor oversee your first appointment change.

Window Cleaning

We understand that window cleaning can be a very important part of having a thorough cleaning. Outside window cleaning is not a typical daily cleaning task therefore windows can often become jammed and very hard to open. Hard to open windows can affect the safety of the Slate Cleaning Specialist. To assist in our employees safety we ask that you examine your windows prior to a window cleaning to ensure that your windows can be easily opened. As old and jammed windows can easily come off track or be damaged when performing inside and out window cleanings, Slate NYC Inc. does not take responsibility for windows damaged during window cleaning services.

Damage and Loss Policy

Slate Clean Home Cleaning Specialists treat your home with the utmost respect. However, due to the nature of our business, accidents can happen. Should a damage occur to your property during a Slate Clean Home service, please notify our office immediately after the cleaning appointment has ended. Slate NYC Inc. is not responsible for items damaged prior to a cleaning.

Should you have any delicate or sensitive items in your home please notify our office representatives as we will instruct the Slate Cleaning Specialist not to touch those items. If an item is damaged by our cleaning consultant we ask that you do not throw the item away as we will need to take photographs of the item for insurance purposes. If a receipt is not available for the damaged item and it is clear that the item has been damaged by a Slate Cleaning Specialist, Slate NYC will purchase a replacement of equal value. We cannot guarantee reimbursement for damages reported more than 48 hours after the end of the cleaning appointment or damages that we cannot physically inspect.

Notice of claims for which you are seeking more than US$50 must be in writing. All claims must be made within the time limits set forth above.

Slate Gift Cards and Gift Certificates

Slate Gift Cards and Gift Certificates Gift Cards are one-time transferable memberships. The gift purchaser ("Purchaser") must transfer the Gift Card to the gift recipient ("Recipient") within one (1) year after date of purchase.

The Gift Card is transferred when the Recipient redeems the code shown on the Gift Card. When Recipient enters the code on the Slate NYC website (and, if not already a Slate NYC member, registers for the service), the Gift Card will be transferred to Recipient and redeemed for Recipient's use.

Gift Cards that are not transferred to a Recipient within one (1) year after date of purchase will, without further notice, commence on the day following the one (1) year anniversary date of purchase.

Slate NYC is not responsible for fulfilling any Gift Cards if not timely redeemed by the Recipient or if Slate NYC is unable to reach the Purchaser. There are no refunds or other credit for unredeemed Gift Cards.

Recipient will not be charged monthly membership fees during the Gift Card period for the Slate NYC plan selected at the time of purchase. A valid payment method is required to redeem the membership.

Recipient's payment method will be authorized for a nominal amount each month during the Gift Card period to assure Slate NYC has a valid payment method on file. In some instances, Recipient's available balance or credit limit may reflect the authorization; however, no charges will be made against the payment method unless Recipient does not cancel prior to the end of the Gift Card period.

At the end of the Gift Subscription period, Recipient authorizes Slate NYC to automatically renew the membership and bill Recipient's payment method monthly for membership fees and applicable tax unless Recipient cancels prior to the end of the Gift Card period. Although the membership is cancelable at anytime, there is no refund or credit for partially used periods. Recipient can click on the "Your Account" link for cancellation instructions. As a convenience, Slate NYC may notify Recipient two (2) weeks prior to the Gift Card period end that the Gift Subscription is ending and automatic monthly billing will begin. It is Recipient's responsibility to cancel the membership if Recipient does not wish to continue past the Gift Card period.

The Gift Card is redeemable for a consecutive-month membership of the Slate NYC plan selected at the time of purchase, and cannot be redeemed or used in any other manner.

Slate NYC is not responsible for lost or stolen Gift Cards, except as required by law.

Gift Cards are valid in the 50 United States and its territories and possessions only.

Gift Cards are not redeemable or refundable for cash, cannot be resold and cannot be combined with any other special or free offers, including other Gift Cards.

Gift Cards and their use are subject to the Slate NYC Terms and Conditions.

Pricing

Slate NYC Inc. reserves the right to change prices at any time and is not responsible for typographical errors on the website related to pricing information. We will inform you if a typographical error has resulted in a difference in pricing for your order before charging your credit card. If an order is in process, we will bill you using prices in effect at the time your order was placed on the Site.

User ID and Password

Access to the Slate NYC Services is granted through the use of a user name and a password that will be issued to you upon registration. You are solely responsible for any authorized or unauthorized access to your account by any person. You agree to bear all responsibility for the confidentiality of your password and all use or charges incurred from use of the Slate NYC Services with your password. You agree to notify Slate NYC promptly of any unauthorized use of your password and you will remain liable for any use of the Slate NYC Services until you notify Slate NYC of the unauthorized use of your password.

Your Account

You are responsible for, and agree to pay promptly, all charges to your account, including applicable taxes and purchases by you or anyone you allow to use your account and password to access the Slate NYC Services. You agree and accept responsibility for keeping all your account information current, including address, payment information, telephone number, e-mail address, and alternate receiver for your order. You can and are urged to update your information on our Site. You agree that you will not provide fraudulent information and that you are solely responsible for any information you provide to Slate NYC, and accept responsibility for all activities that occur under your account or password and for restricting access to your computer. You will comply with all laws applicable to your activities on the Site and with this Agreement. Slate NYC’s secure server encrypts your credit card information so that it cannot be read as the information travels over the Internet. Slate NYC does not store credit card information. When our registration/order form asks users to enter sensitive information (such as credit card number), that information is encrypted and is protected with encryption software. Our Site encrypts your credit card number prior to transmission over the Internet using secure socket layer (SSL) encryption technology. Please refer to PRIVACY POLICY for more information on security.

Copyright and Ownership

All Site content, design, text, graphics, and interfaces; the collection, selection, and arrangement thereof; and all software are the property of, or duly licensed to, Slate NYC Inc. Consent is granted to view, electronically copy, and print in hard copy portions of this Site for the sole purpose of placing an order. Any other use of materials on this Site, including modification, distribution, or reproduction for purposes other than those noted above, without the prior written permission of Slate NYC Inc. is strictly prohibited. You acknowledge that Slate NYC Inc. and/or third-party content providers remain the owners of such material and that you do not acquire any of those ownership rights by downloading copyrighted material. Slate NYC Inc. reserves the right to revoke this authorization at any time, and any use shall be discontinued immediately on written notice from Slate NYC Inc.

Trademarks

“Slate,” “www.slatenyc.com,” “permission to get dirty”, all related logos, and all titles, characters, names, graphics, and button icons are service marks, trademarks and/or trade dress of Slate NYC Inc. or otherwise proprietary to Slate NYC Inc. and may not be used by you for any reason other than as expressly permitted by this Agreement. All other trademarks, service marks, product names, and company names or logos appearing in connection with the Slate NYC Services and on the Site are the property of their respective owners and you do not acquire any ownership rights in such marks, logos, or names by using this Site or any of the Slate NYC Services.

Acceptable Use Policy

You are solely responsible for any and all acts and omissions that occur under your account or password, and you agree not to engage in unacceptable use of the Slate NYC Services, which includes, without limitation, use of the Slate NYC. Services to: (a) disseminate or transmit unsolicited messages, chain letters, or unsolicited commercial e-mail; (b) disseminate or transmit material that, to a reasonable person, may be abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening, or malicious; (c) disseminate or transmit files, graphics, software, or other material that actually or potentially infringes the copyright, trademark, patent, trade secret, or other intellectual property right of any person; (d) create a false identity or otherwise attempt to mislead any person as to the identity or origin of any communication; (e) export, re-export, or permit downloading of any message or content in violation of any export or import law, regulation, or restriction of the United States and its agencies and authorities, or without all required approvals, licenses, or exemptions; (f) interfere with, disrupt, or attempt to gain unauthorized access to other accounts on the Slate NYC Inc. Service or any other computer network; (g) disseminate or transmit viruses, Trojan horses, or any other malicious code or program; or (h) engage in any other activity deemed by Slate NYC Inc. to be in conflict with the spirit or intent of this Agreement.

WARRANTY DISCLAIMER. YOU EXPRESSLY AGREE THAT USE OF THE SLATE NYC SERVICES, THE SITE, AND THE INTERNET IS ENTIRELY AT YOUR OWN RISK. THE SLATE NYC SERVICES, THE SITE, AND ITS CONTENTS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, SLATE NYC INC. Indemnification

Compliance

Termination

Entire Agreement

This Agreement and the Privacy Policy referred to herein represent your entire agreement with Slate NYC Inc. regarding the use of the Slate NYC Services and the Site. Third-Party Beneficiaries

The provisions of this Agreement are for the benefit of Slate NYC Inc. Parties, and each shall have the right to assert and enforce the provisions directly on their own behalf. This Agreement and all obligations and restrictions placed upon you or your permitted users by this Agreement shall survive termination of this Agreement and your Slate NYC Services.

Amendment

Slate NYC Inc. may amend this Agreement at any time by posting the amended terms on our Site. By using this Site after any amendment, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then current Agreement to which you are bound.
